    Abstract

    Chapter dedicated to the Dutch implementation of EU Takeover Bids Directive. The case is particularly interesting because of the strong position of works councils within Dutch companies, including in restructuring situations. Implementation of the Takeover Bids Directive in the Netherlands did not lead to new worker rights above and beyond what was required. However, the general legislation on workers’ involvement – the Works Council Act (WOR) – includes several articles relevant to takeover situations.
